Logibee SaaS Platform – Terms of Use

1. Acceptance of Terms

By accessing or using Logibee’s services, you agree to be bound by these Terms of Use (“Terms”). If you do not have authority to bind your employer or entity, do not use Logibee. These Terms govern access to *.logibee.net, *.logibee.in, *.logibee.ai, *.logibee.io, *.logibee.co, *.logibee.org (“Website”) and all services and products by ConnectSys Pvt Ltd under the Logibee brand.

Logibee reserves the right to modify, update, or replace these Terms at any time and at its sole discretion, including without prior notice to you. It is your responsibility to periodically review the most current version of the Terms, which will be available on the Logibee website or platform. Your continued use of Logibee’s services after any such changes constitutes your acceptance of the new Terms. If you do not agree to any updated Terms, you must immediately stop using the services. You acknowledge and agree that Logibee is not obligated to provide specific notice or individual communication for updates, and that regular review of the Terms is your responsibility.

2. Account Registration & Eligibility

You must provide accurate, complete information to create and maintain an account. You are responsible for all activity occurring under your login and must keep credentials secure. Logibee reserves the right to suspend or terminate access for suspected unauthorized or fraudulent activities at its discretion.

3. Licensing, Access & Use Restrictions

Logibee grants a limited, non-transferable, non-exclusive license to use its SaaS services solely for business operations, subject to these Terms. Reverse engineering, copying, reselling, or redistributing Logibee software is expressly prohibited. Users must not interfere with service operation or attempt unauthorized access to systems.

4. Fees, Billing, and Payment

Subscription fees and payment terms are specified in your order form or account dashboard. Payments are due per agreed schedule, typically Net 10 days from invoice. Unpaid invoices beyond 15 days may incur late fees at prevailing rates.

Logibee reserves the right to suspend service for overdue accounts after 15 days’ of issuing invoice, and to terminate for continued non-payment beyond 30 days. Data may be deleted post-termination per data retention policy. Reactivation after suspension requires payment of full outstanding balance plus any applicable fees.

Logibee reserves the right to present payment due and overdue notifications to account holders directly within the platform interface as reminders of their outstanding invoices. These notices may appear as banners, pop-ups, or dashboard alerts and will provide details on payment deadlines, outstanding amounts, and instructions for resolving billing issues. Customers agree to receive such in-platform reminders, and acknowledge that failure to pay by the specified date may result in additional late fees, service suspension, or termination according to these Terms.

5. Intellectual Property

Logibee and its licensors own all rights to Logibee’s software, platform, and content. No transfer of intellectual property occurs; customer data remains customer property. You may not use any Logibee trademarks, branding, or service marks without written permission.

6. User Content

You grant Logibee a license to use, display, and process uploaded content essential to service operation. You retain ownership of your data, subject to this license. You warrant that user content does not infringe intellectual property or violate laws, and indemnify Logibee against third-party claims.

7. Acceptable Use

Customers shall not misuse the service for illegal, abusive, or disruptive activities. Prohibited actions include spamming, hacking, data scraping, distributing malware, and interfering with service security. Logibee may suspend or terminate accounts violating this policy without refund.

8. Data Protection & Privacy

Logibee will maintain appropriate technical and organizational measures to secure data, as outlined in our Privacy Policy (referenced herein). Customers are responsible for compliance with data laws applicable to their operations, including GDPR, HIPAA, or local equivalents.

9. Suspension & Termination

Logibee may suspend or terminate access at any time for non-payment, significant breach, or illegal activity, after giving notice. Customers may terminate at any time. No refunds for prepaid fees after termination. Upon termination, customer data remains accessible for 30 days, subject to payment of outstanding fees. After this, Logibee may permanently delete data. Customers are responsible for exporting/backing up data before deletion only after payment of outstanding fees.

10. Limitation of Liability

LOGIBEE PROVIDES SERVICES “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIBEE’S CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT TRIGGERING LIABILITY. Logibee disclaims all liability for indirect, incidental, special, consequential, punitive damages, loss of data, or lost profits.

11. Indemnification

Customers agree to defend, indemnify, and hold harmless Logibee, its affiliates, and employees from any third-party claims or damages arising from breach of these Terms, misuse of the service, or violation of law.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India; disputes are resolved by arbitration in Bangalore or another mutually agreed location. No class action lawsuits; parties agree to binding individual arbitration.

13. Amendments & Severability

Logibee may update these Terms. The invalidity of any provision does not affect the remainder. Continued use after notification of amendments constitutes acceptance.

14. Confidentiality

Both parties must maintain confidentiality of proprietary or business-sensitive information, except as required by law or for service delivery.

15. Force Majeure

Logibee is not liable for failure to perform due to events outside reasonable control (including natural disasters, wars, government actions, or service interruptions).

17. API Integrations

Logibee grants customers a limited, non-exclusive right to use Logibee’s APIs as documented, solely for integration with approved client systems and internally for business purposes. Access is subject to compliance with documentation and usage policies.

Customers must not use APIs to access, copy, or store data except as allowed and must implement reasonable security controls to protect API keys and data.

Logibee is not liable for failures or downtime from third-party API integrations. Logibee may modify, suspend, or deprecate APIs with reasonable notice. Prohibited uses include scraping, reverse engineering, or unauthorized competitive analysis.

18. Support Service Level Agreements (SLAs)

Support is available via email and response times based on issue severity and plan. Critical issues are acknowledged within four business hours; resolution attempts are commercially reasonable.

Logibee targets 95% uptime excluding scheduled maintenance or external disruptions. Service credits may apply for significant outages as sole remedy; support excludes third-party integrations or customer misuse.

19. Cross-Border Data Transfers

Customer data may be stored and processed in India, Saudi or other Logibee service regions. Logibee complies with applicable data protection laws, and uses standard contractual clauses for transfers when required.

Customers must ensure compliance with data laws in their jurisdictions; Logibee will assist with documentation and notify of hosting changes for regulated data.

NO OBJECTION

By using Logibee's services, you hereby expressly consent to receive communications, including calls, SMS, emails, or other messages, from Logibee, its affiliates, third parties acting on its behalf, or any authorized representatives, regarding the services provided to you. This consent applies even if you are registered with the National Do Not Call Registry or National Customer Preference Register under the Telecom Regulatory Authority of India or similar regulations in other countries.

You acknowledge that such communication is necessary for service delivery, account management, support, promotions, or other lawful business purposes and shall not be considered unsolicited commercial communication under applicable laws and regulations.
